END USER LICENSE AGREEMENT (EULA)

This End-User License Agreement (“Agreement”) is entered into by and between Superbart Technologies, Inc. (hereinafter: “Licensor,” “Superbart,” “we,” or “our”), a duly registered company in the Philippines, and You (End-User) for the use of the Superbart Motorcycle Taxi Booking Application (“Application”).

By downloading, installing, or using the Application from the Apple App Store or Google Play Store, You acknowledge that You have read, understood, and agree to be bound by the terms of this Agreement. If You do not agree, do not use the Application.

The parties acknowledge that Apple and Google are not parties to this Agreement and are not responsible for the Application, its features, warranty, or support. Superbart alone is responsible for the licensed Application.


1. THE APPLICATION

Superbart is a motorcycle taxi booking platform developed for Android and iOS devices. The Application allows commuters to conveniently book licensed motorcycle taxi driver-partners (“Superbart Riders”) for safe, point-to-point transportation services within the serviceable areas of Davao City and other approved locations.

Superbart is not a rideshare platform; it exclusively provides motorcycle taxi booking services for passengers who need reliable, fast, and affordable transport.

The Application is not designed to comply with industry-specific regulations (such as HIPAA, FISMA, or GLBA). Users are prohibited from using the Application in any manner that violates applicable laws.


2. SCOPE OF LICENSE

2.1 You are granted a limited, non-transferable, non-exclusive license to download, install, and use the Application solely for personal use in accordance with the App Store and Google Play Store Terms of Service.

2.2 Updates provided by Superbart will be covered by this Agreement unless accompanied by a separate license.

2.3 You may not:

Share, resell, rent, or distribute the Application.

Modify, reverse engineer, disassemble, or attempt to derive its source code.

Use the Application in an unlawful or unauthorized manner.

2.4 Violations of these obligations may result in suspension, termination, or legal action.


3. TECHNICAL REQUIREMENTS

3.1 The Application requires a compatible mobile device with internet access.
3.2 Superbart may update technical requirements as needed.
3.3 You are responsible for ensuring your device meets these requirements.


4. MAINTENANCE AND SUPPORT

Superbart is solely responsible for maintenance, updates, and support for the Application. Apple and Google have no obligation to provide such services.


5. USE OF DATA

By using the Application, you consent to the collection and processing of your data in accordance with the Superbart Privacy Policy, which complies with the Philippine Data Privacy Act of 2012 (RA 10173).


6. USER RESPONSIBILITIES

As an End-User, You agree to:

Provide accurate registration details.

Use the Application only for lawful purposes.

Respect driver-partners and follow safety guidelines during rides.

Avoid misuse of features such as false bookings or abusive conduct.


7. DRIVER-PARTNER RESPONSIBILITIES

Superbart Riders agree to:

Hold proper licenses and comply with LTFRB regulations on motorcycle taxi operations.

Maintain their vehicles in safe and roadworthy condition.

Provide passengers with helmets and observe traffic laws.

Uphold professional conduct at all times.


8. LIMITATION OF LIABILITY

Superbart will not be liable for:

Any indirect or incidental damages arising from the use of the Application.

Traffic violations, accidents, or misconduct of independent driver-partners.

Delays, cancellations, or force majeure events beyond its reasonable control.

Passengers are encouraged to use the in-app safety features (ride-sharing details, emergency contacts, SOS button).


9. WARRANTY

Superbart warrants that the Application is free from malicious code at the time of download. However, Superbart makes no guarantee of uninterrupted or error-free operation.


10. TERMINATION

This Agreement is effective until terminated. Your rights will automatically terminate without notice if You breach any terms. Upon termination, You must cease using the Application and delete all copies.


11. INTELLECTUAL PROPERTY

All intellectual property rights in the Application, trademarks, logos, and related content belong exclusively to Superbart Technologies, Inc.


12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles.
